Agreement to Terms

By accessing or using the services provided by Cotech ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our services.

Services

Cotech provides software development services, including but not limited to:

• Web application development
• Mobile application development
• Backend and API engineering
• AI and automation solutions
• Cloud and DevOps services
• Custom dashboards and tools

Specific terms for each project will be outlined in separate agreements or statements of work.

Use of Services

Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You agree not to:

• Use our services in any way that violates applicable laws or regulations
• Engage in any conduct that restricts or inhibits anyone's use of our services
• Use our services to transmit any malicious code, viruses, or harmful material
• Attempt to gain unauthorized access to our systems or networks
• Impersonate or misrepresent your affiliation with any person or entity

Account Responsibilities

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Intellectual Property Rights

Our Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, and software, are owned by Cotech or our licensors and are protected by intellectual property laws.

Project Deliverables

Ownership and intellectual property rights for project deliverables will be specified in individual project agreements or statements of work. Unless otherwise agreed in writing, we retain all rights to any pre-existing materials, tools, frameworks, and methodologies used in delivering our services.

Payment Terms

Payment terms for services will be outlined in individual project agreements. Generally:

• All fees are quoted in USD unless otherwise specified
• Payments are due according to the schedule outlined in the project agreement
• Late payments may incur interest charges or suspension of services
• All fees are non-refundable unless otherwise specified in the project agreement

Project Scope and Changes

The scope of work for each project will be defined in a statement of work or project agreement. Any changes to the scope may require additional fees and timeline adjustments. Change requests must be submitted in writing and approved by both parties.

Confidentiality

We understand that you may share confidential information with us during the course of our engagement. We agree to maintain the confidentiality of such information and use it only for the purpose of providing our services. Specific confidentiality terms may be outlined in separate non-disclosure agreements.

Warranties and Disclaimers

Our Commitment

We will perform our services with reasonable skill and care, consistent with industry standards. We warrant that our services will substantially conform to the specifications outlined in the project agreement.

Disclaimer

Except as expressly stated in a project agreement, our services are provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law, Cotech shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or use, arising out of or related to these Terms or our services, even if we have been advised of the possibility of such damages.

Our total liability for any claims arising out of or related to these Terms or our services shall not exceed the amount paid by you to us for the specific services giving rise to the claim during the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Cotech and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or related to your use of our services or violation of these Terms.

Termination

We may terminate or suspend access to our services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use our services will immediately cease.

Specific termination terms for ongoing projects will be outlined in individual project agreements.

Dispute Resolution

Any disputes arising out of or related to these Terms or our services shall first be attempted to be resolved through good faith negotiations. If negotiations fail, disputes may be resolved through binding arbitration or in accordance with the dispute resolution provisions outlined in individual project agreements.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Cotech operates, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. Your continued use of our services after such modifications constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
